A playbook for lawyers, vendors, and others involved in commercial transactions in New Jersey. On June 13, 2013, New Jersey passed S-2144 into law as P.L. 2013, c.65. The new law repeals and replace Chapters 1 and 7 of New Jersey's Uniform Commercial Code (NJUCC) and made significant revisions to Chapter 9. This book will cover these recent and extensive changes. Schaffer and Singleterry present and explain the UCC as adopted and applied by New Jersey courts and practitioners. In addition, the book addresses the Uniform Electronic Transactions Act as it seeks to address the growth of electronic commerce. Sections include

  • Sale of goods.
  • Leases
  • Negotiable instruments and banking transactions.
  • Letters of credit
  • Documents of title used for the storage and transport of goods
  • Investment securities
  • Secured transactions

This book focuses on the New Jersey statutory variation of, and case law on, the Uniform Commercial Code. The UCC governs a wide spectrum of commercial transaction law designed to simplify, clarify and modernize the law governing commercial practices while striving for uniformity across jurisdictions.
